 o   About one in eight S&P 500 companies was the target of a public activist campaign in 2015—and the number more than doubles when you include behind-the-scenes approaches that never become public. Was your company one of them or might it be in the future? Shareholder activism is intensifying. The number of players is increasing and their tactics and strategies are changing. But not all activists are the same: they might have different time horizons, strategies or risk tolerance. Still, their ultimate goals are similar:  to increase the value of their investment. This session will focus on the spectrum of activism activity and how you can think about preparation from an internal audit perspective.

 o    Sweeping transformation of the current lease accounting model has been finalized, affecting all companies to varying degrees, across all sectors, in the US and internationally. Many entities in the past have not needed robust processes and controls for leases. The proposal that leases should be revisited and re-measured will require Internal Auditors to play a fundamental role in this substantial accounting transformation.

 o   The Yates memo in late 2015 provided further guidance to how companies need to operate in order to even be considered for cooperation credit in a DOJ investigation.  We'll highlight key things Internal Auditors should be thinking about today to make sure their companies have a compliance program that meets the DOJ's expectations.
